Affiliate Agreement

This agreement ("Agreement"), between you and All Star Computers, covers your participation in an open-term promotion (the "Affiliate Network") of All Star Computers in exchange for payment based on the terms and conditions set forth below. All Star Computers will make available to participants in the Affiliate Network graphical image file(s) ("Image") and text link(s) ("Link") promoting the All Star Computers website. 1. This Agreement will commence on the date your application to join the Affiliate Network is accepted by All Star Computers, and will continue unless terminated by one of us. Please note that we will reject any website that does not feature customer-friendly website navigation, contains content (including pornographic or hateful content) that we, in our sole discretion, determine does not meet an acceptable commercial or aesthetic standard. Immediately thereafter, you will receive one or more Image for placing on your website. Placement of the Image on your home or default page will be in a prominent location. 2. All Star Computers will exercise commercially reasonable efforts to process every order placed by a customer referred by you. All Star Computers will process orders, shipping, cancellations, returns, and related customer service. All of the All Star Computers rules, operating procedures and policies regarding customer orders and accounts will apply to customers referred by you. All Star Computers reserves the right to reject any order for any or no reason, including any order that does not comply with All Star Computer's rules, operating procedures and policies or that violates applicable law. 3. Nothing in this Agreement is intended to or will create any form of partnership, joint venture, agency, franchise, sales representative or employment relationship with All Star Computers. 4. You will be paid, for an unlimited time frame, commissions equal to 2% of each computer system sold by All Star Computers to a customer referred by you through the special Image or Link provided to you. Payment shall be based on each computer system sale price excluding taxes, shipping and handling and any other additional fees. Payment shall be mailed thirty (30) days after delivery provided that the customer does not return the computer to us within those thirty days. After customer billing information, including but not limited to credit card information, is verified, All Star Computers will furnish you with a report including the number of referred customers for which payment is due to you. 5. All information relating to the calculation of amounts paid to you, including but not limited to the number of referrals, shall be considered proprietary information of All Star Computers, and shall be held in strictest confidence by All Star Computers and will not be disclosed by to any other person outside of All Star Computers, in any manner whatsoever, in whole or in part. 6. All Star Computers hereby grants to you a non-exclusive right to (i) establish a hypertext Link to the All Star Computers website, and (ii) use, in connection with establishing that Link, each Image (including all copyrighted, trade or service marked or other protected intellectual property contained therein) only for the purposes described in this Agreement; provided, that you will not add, subtract or in any way alter or edit any Image or Link (including, for this purpose, any machine-readable code which may be a part of any Image or Link) without prior written approval from All Star Computers, nor will you make any use whatsoever of any Image, Link or any other element of All Star Computers' intellectual property (including but not limited to All Star Computers' name, whether used in an URL, a metatag or otherwise) other than for the purposes of, and as contemplated by, this Agreement or as may otherwise be specified by All Star Computers in writing. 7. By accepting membership in the Affiliate Network, you agree specifically to refrain from (i) originating, authorizing, or participating in any UNSOLICITED promotions, whether by email, telephone or otherwise, of All Star Computers (including, but not limited to "spamming"), and (ii) issuing any press release mentioning All Star Computers, unless such promotion have been specifically approved in writing by All Star Computers. 8. This Agreement is the sole and complete Agreement covering the subject matter hereof and may be amended at any time by All Star Computers at its own discretion. Posting a new Agreement on our site will constitute binding acceptance of the change. This Agreement is made in accordance with and governed by the laws of the State of Florida. Any provision of this agreement deemed unenforceable by a competent court of jurisdiction may be deleted, leaving the remainder of the agreement operable and in effect. In the event of a dispute, the parties shall first seek mediation, and if the parties still seek to litigate the issue then the attorneys' fees and related litigation expenses (expert fees, etc.) may be recovered by the prevailing party. This agreement is nontransferable, except in the event of a sale of all or substantially all of the assets or stock of the transferring party as part of an acquisition or merger, including any reorganization or reincorporation. 9. All Star Computers may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this Agreement. 10. Each party hereto agrees to indemnify and hold harmless the other party and each of its agents, officers, directors, and employees against all liability to third parties resulting from the acts, or failures to act, of such indemnifying party, or any acts of its customers or users. In no event shall either party hereto be liable for payment of consequential damages resulting from the default in performance of their respective obligations pursuant to this Agreement. NO WARRANTIES ARE MADE BY EITHER OF THE PARTIES HERETO AS TO THE SERVICES OR TECHNOLOGY DESCRIBED IN THIS AGREEMENT AND EACH PARTY HERETO EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT AS IT RELATES TO THE TECHNOLOGY AND SERVICES PROVIDED PURSUANT TO THIS AGREEMENT.
